it and you know I got a feeling that this election this election is really anybody's to take um I do hope KLA Harris and Tim wals win seems like they are a dynamic team for sure and um I can't wait to George Stephanopoulos as a republican who is supporting the um former president you're supporting a president that was convicted of grape so 45 is Big mad that George set a act sets up the factual five billion to buy out Hulu I'm dispute over fair value of Hulu inter opertion in May of 2024 according to Disney Disney and Comcast remain locked in a dispute over what Hulu is worth Disney said might have to pay up um to 5 billion more to to complete the Buy out of NBC Universal's 33% stake of the streamer last year Disney accelerated The Accelerated negotiations to buy the Comcast NBC Universal stake in Hulu to take full ownership of the streaming service in December 2023 the Mouse um paid 8.61 billion to Comcast which represented the onethird of the 27.5 billion guaranteed floor value for Hulu that was said when the companies entered into their agreement 19 but so far the two sides have been unable to agree on fair market value for Hulu during the initial um phase of the appraisal process Disney third party appraiser arrived at a arrived at evaluation that fell below the 27.5 billion guaranteed floor value while NBC universals appraiser arrived at a validation substantially in Access of the guaranteed floor value according to Disney's tin Q fi with the um security Exchange Commission Wednesday for its third core of fiscal 2024 in May of 2024 Disney NBC Universal entered into a confidential arbitration to resolve the dispute of the appraisal process to determine the fair value of Hulu in which the parties seek declarator um declaratory relief eodo will relief an unspecified dages see congratulations I'm multitasking y'all per usual it's a blessing to be able to multitasking and to be good to people you know what I mean so yes indeed all right um part of the company's agreement of the two sides evaluations were not within 10% of each other the banks they enlisted for the transaction will pick a third firm to make another estimate and hu's final valuation will be the average of the two figures that are closest to each other according to the Disney finally if NBC Universal's appraisal was deemed to be valid a third part a third appraisal Equity fair fair value determination work consistent with the nbcu's appraisal appraisal appraiser valuation disy will be required to pay nbcu Universal addition amount of approximately 5 billion as it share of the difference between equity fair value and the guaranteed floor value that suggests that the comc that suggests Comcast third party appraisal valued Hulu in the neighborhood of 40.8 billion if the third party appraisers Equity fair value determination for Hulu were between the valuations of Disney's NBC universals appraisers the incremental amount Disney will have to pay would be between zero and five billion So within that rank thisy will have to pay to NBC Universal to own Hulu fully the outcome of the Hulu deal arbitration is is uncertain we cannot reasonably estimate the impact of the arbitration on the appraisal process and thus any impact on the determination of Hulu Equity fair value any additional amount we may be required to pay um we may be to pay to acquire NBC Universal's interest in Hulu Disney know it in the filing the two sides have been far apart on the question of Hulu's market value it for months Comcast c o Brian Roberts touted um NBC um touted Hulu rather as a scarce kingmaker asset last September and suggested the series Hulu would afford a full owner would be 30 billion even before accounting for the value of Hulu itself under the previously set terms of the transaction the Disney the Disney what like the Disney that's a little odd okay there we go um the Disney is set to share with NBC Universal 50% of Disney's estimated us tax savings resulting from the aoriz of the purchase of NBC Universal's interest in Hulu with payments expected to be made primarily over 15year period Disney had already taking full operational control of Hulu and has been acting as the sole owner for some time now using it as the main streaming home for current ABC series including hit comedy Abid Elementary and FX program like the bear and integrating it into the company's flashship Dy plus service well I mean I look at it like this right hey welcome in um I look at it like this right five billion is a lot of money I mean it's a lot a lot of money and Disney is going to pay because one um Disney that's Disney's platform right NBC Universal has peacock now I think peacock has like what 30 million subscribers the only thing I could think right is this they could do a Content deal with whatever shows don't work on peacock they could do peacock on Hulu and that will be exclusive content that you will only be able to get on Hulu and then that's ad Revenue now that could be a possibility I do not know um but I'm not surprised by this news but I think that um Disney will definitely pay it because Disney when it comes to them being adult they don't really do that often they don't really do it well so oh my Lord Jesus y'all look at this hang on they're dancing live in Huntsville Alabama right now get getting down on it yes indeed okay all shutting down now this genuinely broke my heart because for those of you who don't know broadcasting and cable um and multi- channel news are industry magazines that you find out all the new shows you find out who's Rising who's falling and Technology it really was a broadcaster's magazine um so the fact that that that's not happening is quite sad um but the future company will retain the um broadcasting cable Hall of Fame of course it will um broadcasting and cable multi- channel news two longtime industry Publications covering the TV business are getting shuttered um the current owner of the the current owner of the publication UK based me Media Company future PLC announced the move in an article posted on Tuesday on nexttv the umbrella brand that encompassed both broadcasting cable and multi- channel news as a par Futures plans it will cease the publication of the print magazine daily newsletters of broadcasting cable multi-channel news at nexttv um from September 30th 2024 the company set a representative for future PLC declin to say how many sters would be late off October 1st future said it will introduce a new smart brief newsl media and entertainment and a reformat next TV website future says ret it is retaining the 33 year old broadcasting and cable Hall of Fame event the company named industry veteran Charlie Weiss to the 2025 event chairman role while the current chairman bill mcgorty will partner with Weiss as a chairman and Meritus next year this year's event is scheduled to take place September 26 the broadcaster the broad casting and cable Hall of Fame honors the Trailblazers and Visionaries who have significant who have made significant impacts in the broadcasting cable centers company said all right this industry is going through Rapid transformation that requires our business to adapt amander Darman Allen senior vice president of businesses to business um at future set a statement by focusing our efforts on impactful imperson events and UniFi newslet We believe We will maintain our role as a key connector and influencer the broadcasting and cable Hall of Fame is a perfect example of the kind of high high caliber Productions and broadcasting cable multi- channel news there are really two Legacy uh magazines that really cover the industry and I think if you evolve broadcasting um because broadcasting used to be radio broadcasting but television broadcasting as well I think if you expand to live stream broadcasting and diversify that and multi- chnnel news including streaming news articles a little bit more I University's football stadium um pitbull will pay 1.2 million per year over the next five years for the naming rights according to documents um viewed by the Washington boat host Pitbull is also slave to record and deliver a song for the school to be played at all FIU events the documents mentioned Pitbull has the option to renew the agreement for additional five years what we're doing here is groundbreaking what we're doing is making history this is history and the making Pitbull said the same you're GNA see every other university um want to do the same thing but the difference is we don't Twitter in 2023 plummeted to 52% to 1.13 billion according to estimates from Market researcher e marketer which forecasted the company's 2024 ad sales to decline slightly to 1.10 billion it's still in allows individual members to determine which content is suitable for their own advertising support garm does not look at harmful content or content risk through a political lens nor does an advocate doing so suggestions that garm practices May in hinge on Free Speech or Mis or deliberate misrepresentation of G's work garm is not a watchh doog or a Lobby garm does not participate in or advocates for any boycotts of any kind the trade group says that establish gar 2019 tell the industry address the challenge of illegal harmful content on digital media platforms and its monetization versus monetized the lawsuit is the latest effort by X to restore its ad business that tanked when musk took over so uh boycotts are generally covered under First Amendment freedoms of speech kind of hilarious that musk talks about free speech all of the time but wants to sue people over a boycott I'm curious about the antitrust angle of this lawsuit is is this an anti-competitive action because these are consumers of advertisements they purchase ad space so they're not competing for ad space so this idea that this is somehow Anti-Trust you know I looked at what one of the the FTC Anti-Trust attorneys was saying and they said it's a hideous joke the anti-rust laws you know essentially don't apply here and and basically antitrust laws in so many words is basically equality and equity in terms of access so like I said before Twitter is going have to prove in court that they have been shyed um cut off and you know put to the side of access to advertising dollars now if Instagram Facebook YouTube Tik Tok which Tik Tok is still going through their legal thing right now Clubhouse if they come and say well we keep getting money then they're going to lose a lot of money in this suit so let's roll on and um it's not a question as to whether or not Twitter lost money the question here is whether Twitter was competitively disadvantaged by their actions and there's just no evidence in this complaint they were competitively disadvantaged if people don't want to buy advertisements there you can't exactly yeah I so I I mostly agree with what you just said I mean Twitter was harmed by thec by the decision this conglomerate of advertisers that work in concert to and decided not to be on Twitter did harm Twitter however there's no right for you don't have some right for advertisers to work with you advertisers can make a it ends up being a First Amendment issue as you alluded to can make the decision not to advertise on your website you can't compel someone to do business with you to advertise on your website um if you could that would violate the First Amendment so I think this effort is very much doomed and is not a good idea um I I think calling to attention the coordinated efforts of not so much and also focusing on like CVS itself is totally wrong the advertisers are not consciously making these choices they have devolved their decision-making to um to third- party advertising overseeing safety Watchdog type groups like the Anti-Defamation League and like Media Matters who came up with these in my view totally wrong-headed idea that X is a uniquely harassing bad place that there was so much hate and it was getting worse and they use very bad metrics to demonstrate that and that persuaded the groups that speak on behalf of of the ad advertisers not to work with these companies they should be called out I do disagree with that point because he did say that Dei needs to die Elon Musk has many times responded to anti-semitic comments he just did a AI um he just did AI post of KLA Harris so that statement was [ __ ] from him but okay let's roll on they should be exposed if it ends up being where it's like you know the disinformation trackers that it's State Department funded that should be Des subsidized but at the end of the day you can't compel CVS to advertise on X if it doesn't want to if it's deciding not to um advertise on X based on a faulty premise or based on information that is bad that information can be corrected in the Public Square should be corrected if people have slandered uh X or made slanderous claims they can be sued for that but you can't sue a company for not advertising on your website at the end of the day obviously you can't so it's uh it's not an effort that's going to succeed yeah I think as much as you know CVS can be influenced this is a huge company that can make its own decisions around where they advertise and if they wanted to advertise on X and you know the Global Alliance of responsible media said you know we have some concerns about X they can still decide to do so is not Bing relationship right but they've outsourced the companies have largely outsourced this decision- making to third party Watchdog organizations that I find to be wrong-headed and ideological so it's more a point about educating the advertisers about who um like Media Matters and the Anti-Defamation League and other disinformation tracking groups well I mean the Anti-Defamation League makes sure that um AI is not talked about that slavery is not talked about so I'm not gonna say he's a racist because we don't know him personally but honestly Watchdogs keep these companies accountable and if the Watchdogs weren't around and these companies want to be mean then you also say the companies would be mean so once again your statement is [ __ ] but let's keep rolling and groups and this conglomerate this this brussels-based organization that it's you know it's a board representing them that gets together and says oh we decided it's unsafe to be on Twitter and I say well what is that what is your information where are you getting that information what how are you quantifying unsafe and that's where I think a lot of the assumptions were faulty again that's not so much on the advertisers I think with better information they would not necessarily choose not to advertise an X but whether they choose to or not is not a legal matter is not a point on which they can be sued obviously right yeah companies in the past have been hurt by advertising on websites that are allowing misation to run rampant so yeah if there's a company that's tracking where there's a lot of misinformation and they're saying hey guys if you don't want your ad to run on a video that might be about whether or not uh you know the shooting in Sandy Hook was real and it's an Alex Jones video a lot of people say why is this company advertising and it can hurt company so it's it's a business decision at the end of the day but a lot of that kind of tracking that's the exact kind of tracking I'm getting at because some of that is is misguided for instance um I've been I mean i' I've called attention to this many times on so forgive viewers if you've heard this one before but um for instance my the magazine I write for reason we were put on some list with some more conservative sites of unsafe um unsafe websites that this factchecking organization the global disinformation index wanted you not to advertise on our site and one of the reasons for that was they said we were spreading uh or another site they they accused this of the wasting examiner maybe was spreading racist misinformation about covid by having run an oped by someone who said covid probably came from the lab so they are fact check they were saying you're you're unsafe and Advertiser should work with you because you featured commentary of someone taking the opinion that Co came from a lab so that is a incorrect fact check I would argue that is not misinformation the organization doing that is acting in bad faith or is wrong-headed so advertisers should not take their cues from that organization if an Advertiser decides not to be on the Washington examiner again it could be that you can't sue the advertiser for not doing that what you can do is call out the organization that caused them to make that mistake and that's where I think the focus should be right so this lawsuit is essentially baseless but do you think Elon Musk made the decision to move to Texas because he's more likely to get a judge that is friendly to his ARG yes or or rather the laws will be applied in a way in this case that it's more friendly to ask yeah I have no idea if uh his residence changes the where the ca I oh without question I mean California is known for antitrust laws and really all of the laws for Hollywood and Industry and in Texas they are conservative and Elon muskus support 45 after interview um with former president 45 at the National Association of black journalists um nabj got he convention nabj got um heated the guardian reported NPR National public radio TV media TV Craig and media analyst Eric Dickens wrote a statement on Twitter saying the journalist receive um threats to her life director questioning the GOP Presidential nominee on July 31st about his past comments at black people at membership meeting today nabj director um said ABC's Rachel Scott have received death threats following her work about asking um in Insight of questions about 45 at the group's National Convention on Wednesday and honestly what this um piece of [ __ ] executive director should have said was we disavow that and we do not allow death threats on our members that that it's about time after years of discrimination black Farmers to receive two billion from the US government USDA secretary Tom vasli to reports that the aid is not compensation for anyone's loss or Pain endur by acknowledgement by the department after years of fighing against discrimination black and other minority farmers are set to receive two billion from the US from the United States Department of of Agriculture announced according to announcement from President Joe Biden these Farmers have long struggled against systematic barriers including discrimin discrimin in the allocation of resources and support from the USDA this settlement aims to address the historical injustices and provide much needed Financial relief to minority farmers who have been disproportionately affected by these discriminatory practic according to ABC News most of the payments will go to Farmers in Mississippi Alabama over 23,000 farmers will receive payments between 10,000 and $500,000 in addition another 20,000 who had planned to start a farm but never got a loan from the USDA will receive between 3,000 356,000 um dollarars there I applaud the work of the Biden Harris Administration in the USDA to provide financial assistance to Farmers and ranchers impacted by past discrimination including um in Ohio being denied even small loan can mean a lifetime of lost earnings um today this is from Black Caucus today too many farmers and ranchers lack access to Federal resources and support under the inflation red uction at USDA is providing 43,000 farmers and ranchers financial assistance to address discrimination in farm lending programs and this other and this other tweet was from representative shael Brown okay it's not gonna let me play the video okay never mind y'all USDA secretary Tom VC clarified thatment that the payments are now for reparations but are an acknowledgement from the USDA although James boy Jun the founder and president of the national black Farmers land and I want to be very very clear about that Boyd and his organization are still fing for debt release for black farmers who received approval in 2021 though they have been approved for payments
